Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of Orangepill Technology websites and services (the "Services"). By accessing or using the Services, you agree to these Terms.
Services
Orangepill provides infrastructure to orchestrate financial execution, settlement, and ledger-backed workflows. Features may change or evolve over time. Certain Services may be subject to additional terms, order forms, or service-level commitments.
Eligibility & Account Responsibilities
You must be authorized to use the Services on behalf of an organization. You are responsible for maintaining the confidentiality of credentials and for all activity conducted through your account.
Acceptable Use
You agree not to misuse the Services, including by violating laws, infringing rights, probing or disrupting security, reverse engineering, or attempting to access data not intended for you.
Compliance Obligations
You are responsible for ensuring your use of the Services complies with applicable laws and regulations, including financial services, sanctions, anti-money laundering (AML), and data protection requirements.
Fees & Payment
Fees, billing terms, and payment obligations are set forth in an applicable order form or agreement. Late payments may result in suspension of access to the Services.
Confidentiality
Each party agrees to protect the other party’s confidential information and use it only for purposes of providing or receiving the Services.
Intellectual Property
Orangepill retains all rights in the Services, software, and documentation. You receive a limited, non-exclusive, non-transferable right to access and use the Services in accordance with these Terms and any order form.
Third-Party Services
The Services may integrate with third-party systems. Orangepill is not responsible for third-party services and their terms govern their use.
Disclaimer
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose or non-infringement, to the fullest extent permitted by law.
Limitation of Liability
To the fullest extent permitted by law, Orangepill will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, data, or goodwill.
Indemnification
You agree to indemnify and hold harmless Orangepill from claims arising out of your use of the Services or violation of these Terms.
Termination
Either party may terminate access to the Services in accordance with the applicable order form or agreement. Sections that by their nature should survive will survive termination.
Governing Law
These Terms are governed by the laws specified in the applicable order form or, if none, by the laws of the jurisdiction where Orangepill is incorporated, without regard to conflict of law principles.
